Terms of Service

1. Agreement to terms

By accessing or using LeadsRefer (“the Platform”) at leadsrefer.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform. These Terms apply to all users including affiliates, advertisers, and operators.

2. Description of service

LeadsRefer is an affiliate performance marketing platform that enables advertisers to create offers, onboard and manage affiliate partners, track clicks and conversions, and run commission payouts. Affiliates use the Platform to discover approved offers, generate tracking links, and view performance reports.

3. Eligibility

You must be at least 18 years old and capable of entering a legally binding contract to use the Platform. By registering, you represent that all information you provide is accurate and current.

4. Affiliate terms

• Approval: Affiliate accounts require manual approval. Approval is at our sole discretion and may be revoked at any time.
• Offer compliance: You must promote each offer only through permitted traffic sources and in accordance with the offer terms set by the advertiser. Prohibited traffic includes but is not limited to: incentivized traffic (unless explicitly allowed), cookie stuffing, typosquatting, unauthorized brand bidding, and misleading advertising.
• Tracking links: You may only use your assigned tracking links. Sharing, modifying, or circumventing tracking parameters is prohibited.
• Fraud: Any form of fraudulent activity — including self-referrals, fake conversions, bot traffic, or click injection — will result in immediate account termination and forfeiture of unpaid commissions.
• Tax information: U.S.-based affiliates earning $600 or more in a calendar year are required to provide a valid W-9 for 1099 reporting.

5. Advertiser terms

• Offers: You are responsible for the accuracy of offer details including payout rates, caps, and permitted traffic. You must have the right to promote the products or services described.
• Billing: Advertiser accounts operate on a prepaid credit basis. You must maintain sufficient credit to cover active offer payouts. LeadsRefer may pause offers if your balance is insufficient.
• Prohibited offers: You may not create offers for illegal products or services, adult content (unless specifically permitted in writing), or offers that violate applicable regulations (FTC, GDPR, CAN-SPAM, etc.).
• Dispute window: Conversion disputes must be submitted within 30 days of the conversion date. After 30 days, conversions are considered final.

6. Commissions & payouts

Commission amounts are determined by the payout configuration of each offer. Payouts are subject to a hold period (configurable per offer, typically 7–30 days) to allow for conversion validation and chargeback risk. LeadsRefer reserves the right to withhold payment for conversions that are disputed, fraudulent, or in violation of offer terms. Payouts are issued according to the schedule set by the operator.

7. Prohibited conduct

You agree not to:

• Violate any applicable law or regulation.
• Reverse-engineer, scrape, or attempt to access non-public portions of the Platform.
• Interfere with the operation of the Platform or its infrastructure.
• Impersonate another user or entity.
• Use the Platform to send unsolicited communications (spam).
• Attempt to circumvent conversion tracking, attribution, or payout calculations.

8. Intellectual property

All content, trademarks, and software on the Platform are owned by or licensed to LeadsRefer. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You retain ownership of any content you submit, but grant LeadsRefer a license to use it to operate the Platform.

9. Termination

We may suspend or terminate your account at any time with or without notice for violation of these Terms, fraudulent activity, or any other reason at our discretion. You may terminate your account by contacting admin@leadsrefer.com. Upon termination, your right to use the Platform immediately ceases. Pending payouts for valid, non-fraudulent conversions will be honored subject to the standard hold period.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADSREFER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO LEADSREFER IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Governing law & disputes

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to these terms

We may update these Terms at any time. Material changes will be communicated via email or a notice on the Platform at least 7 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
